Job duties:
The Associate Attorney in our Business and Tax practice group will be involved in the areas of mergers and acquisitions and other significant business transactions. Duties include the following:
- Prepare full legal due diligence reports and disclosure schedules.
- Draft asset purchase agreements and the suite of documents pertaining to merger and acquisitions transactions.
- Assist colleagues and clients with ensuring the legality of commercial transactions.
- Review legal documents and stakeholder information.
- Research and analyze laws to best serve clients and prepare and draft legal documents.
- Advise clients concerning business transactions, legal rights and obligations, and interpret laws, rulings, and regulation.
- Search for and examine public and other legal records.
Confer with colleagues with specialties in appropriate areas of legal issues to establish and verify bases for legal proceedings.
Reports to Partner. Up to two days/week telecommuting permitted from local area. Multiple positions.
REQUIRED QUALIFICATIONS:
Education: Juris Doctor or LLM
Experience: 3 years as a corporate law attorney, including at least one year with an AmLaw 100 law firm.
Required skills/experience:
- Must possess active state bar license in CA, OR, WA or NY
Experience must include
- Legal research on corporate issues relevant to transactions, including with respect to fiduciary duties, successor liability and interpretation of relevant provisions in M&A transaction documents
- Supporting mergers & acquisitions for both private equity sponsors and operating companies with transaction values of at least $25 million, including:
- Drafting, negotiating and revising nondisclosure agreements
- Managing customary due diligence processes, including contributions to diligence memoranda
- Drafting, negotiating and revising ancillary agreements
- Managing signing and closing processes
Drafting and revising corporate formation/incorporation documents and other governing documents for corporations and limited liability companies
