Microsoft Corporation M&A Group Compliance Manager in Redmond, Washington

The Microsoft Acquisition and Venture Success (MAVS) practice provides cross-functional due diligence and integration leadership for Microsoft’s acquisitions, divestitures, and strategic ventures. We focus on driving comprehensive technical and commercial due diligence, integration planning, Day 1 and post-close implementation, and deal performance governance. We bring insight, clarity, and adaptable solutions that enable people, product, go-to-market, and operational success. We focus on mitigating risks, defining strategy, building robust plans, and driving connections that ensure we can realize the value of each acquisition or venture. We work with all levels within Microsoft and acquired companies, across all functional areas and regions.


Our MAVS Compliance Center of Excellence team works across all functional areas to provide oversight and direction on risk management and compliance priorities as it relates to acquisition and ventures and ensures team focus toward at-issue topics across all functions (including Finance, Product Engineering, HR, CELA, Operations, MS Digital, Commerce Ecosystem). In this role, you will:

  • Oversee participation and enhancement in Microsoft’s mergers and acquisition compliance integration process

  • Lead program management efforts of integration groups across Microsoft to develop and execute a tailored integration for controls and policy compliance plan that will enable deal success as it relates to enterprise risk management

  • Coordinate across functions to provide a connected and sequenced plan to deliver a seamless implementation of controls and policy by the target company

  • Develop an understanding of and provide advice on policy compliance requirements for the overall deal integration planning roadmap

  • Establish and improve risk & compliance programs, processes, and capabilities for MAVS

  • Drive strategy regarding the MAVS compliance monitoring program and partner with functional teams to develop a risk-based monitoring framework, address missed or new opportunities

  • Provide strategic direction for the creation of reporting and analytics to support governance on implementation of controls and policy in M&A

  • Identify opportunities for teams to increase knowledge of risks and compliance

  • Lead and collaborate with other Microsoft teams to help develop controls and policy framework

  • Actively participate and broadly leverage the connections with Microsoft compliance community to share and adopt best practices.


Required/Minimum Qualifications:

  • Bachelor's Degree in Finance or related field AND 6+ years of financial compliance experience

  • OR equivalent experience.

  • Specialized risk and compliance knowledge and expertise in at least one of the following risk domains: Finance/Accounting, Security, Privacy, Legal, Sales executions

Additional or Preferred Qualifications:

  • Strongly prefer 10-12 years’ experience in risk management, policy governance, compliance, audit, project management and/or process excellence

  • Mergers & Acquisitions experience preferred

  • Proven effectiveness in building case for change and in driving complex multi-stakeholder programs to desired results preferred

  • Exceptionally strong program leadership skills, including successful leadership or participation in broad risk and compliance program development and management

  • Outstanding cross group collaboration, problem-defining/solving, and communication skills

  • Proven ability to create clarity and order in ambiguous situations

  • For Colorado Applicants the anticipated hiring range is: $129,800 to $194,800

  • At Microsoft certain roles are eligible for additional rewards, including annual bonus and stock. These awards are allocated based on individual performance. In addition, certain roles also have the opportunity to earn sales incentives based on revenue or utilization, depending on the terms of the plan and the employee’s role.
