Description and Qualifications

The Legal and Compliance Program Manager is responsible for providing programmatic management and support to various Administration functions including governance, corporate compliance, and contract management. Provides legal support to LifeCenter’s General Counsel and Vice President Administration (General Counsel) through research support services and document preparation and review. Works closely with Director, People Resources in building and maintaining program infrastructure to support organizational leaders in managing various processes and responsibilities.

ESSENTIAL JOB FUNCTIONS

Legal Support and Governance

  • Conducts research, investigates facts and develops legal arguments and reports as requested by General Counsel.

  • Prepares and files corporate documents (e.g., with the Secretary of State’s office), and maintains legal files.

  • Summarizes relevant laws and regulations as requested. Keeps track of changes in legal framework and provides General Counsel with timely updates on these changes.

  • Partners with General Counsel and Quality and Regulatory Affairs to support responses to government inquiries and investigations.

  • Partners with General Counsel to develop and enhance risk matrices for senior leadership and Governing Board reporting.

  • Partners with General Counsel and Communications and Community Relations on legislative affairs efforts as requested.

  • Works closely with General Counsel to support governance best practices.

  • Assists General Counsel with review and updates to LifeCenter’s governing documents, including bylaws and Board committee charters.

  • Researches and makes recommendations on governance best practices.

    Compliance Program

  • Provides program management for LifeCenter’s Corporate Compliance Program, managing, maintaining and developing critical program infrastructure.

  • Maintains records (including incident reports and investigations and Corporate Compliance Committee records agendas and minutes) as needed for compliance program standards.

  • Assists in organizational policy reviews and updates.

  • Assists Compliance Officer in development of trainings, including for Governing Board, Audit & Compliance Committee, Corporate Compliance Committee, Leadership, and staff.

  • Partners with Quality and Regulatory Affairs and other departments to support effective monitoring and auditing of activities for compliance.

  • Performs program evaluation based on OIG guidance for an Effective Compliance Program; recommends ongoing enhancements to program to implement and maintain compliance best practices over time.

    Contract Management

  • Responsible for contract administration function and management of contractual documents that establish business relationships with vendors, customers and/or partners through the purchase or sale of equipment, materials, products, or services.

  • In consultation with General Counsel, develops standard contract terms and templates as needed.

  • Partners with various contract owners to provide guidance on contract development with external vendors on standard business terms.

  • Provides initial review for standard organizational terms; assists leaders with reviewing and responding to initial contact drafts and working through the review and approval process.

  • Administers the contract review and finalization processes, highlighting specific terms for Finance, IT, Legal and Quality review.

  • Develops and maintains a contract database to proactively review existing contracts to confirm all terms are being met and that timely and pro-active contract renewals are achieved where appropriate.

  • Develops and implements centralized contract management infrastructure. Evaluates contract management software options and implement enhanced system for maintaining and tracking contracts.

  • Works with Learning & Development to develop and deliver training for contract review/approval process and engage in other educational opportunities related to contract terms and processes, in collaboration with General Counsel .

  • Reviews and approves documents for protection of the company's contractual posture and adherence to company policy.

  • Advises management of contractual rights and obligations, provides interpretation of terms and conditions of contracts and monitors compliance with contract terms and conditions, expirations, and renewals.

  • Audits contracts and ensures contracts meet organizational guidelines and applicable legal principles.

  • Partners with Hospital Development to advise on terms in LifeCenter’s standard hospital agreements.

  • Partners with Finance and Accounting to maintain recurring list of Certificate of Insurance requests and facilitate ad hoc requests, ensuring certificates meet contractual requirements.

    Supervision

  • This position has no formal supervisory responsibility, but serves as an advisor and consultant for the organization, and coach and mentor for other positions in the department. 

    Other Responsibilities :

  • Participates in, and may lead, employee committees and events.

  • Performs other related duties as required by the needs of the company and the leadership team.

  • Complies with applicable laws, regulations, and LifeCenter policies and procedures.

    KNOWLEDGE, SKILLS, ABILITIES

  • Expert knowledge of paralegal practices and procedures including researching, analyzing, and interpreting proposed and existing laws, statutes, and regulations.

  • In-depth knowledge of structuring, drafting and preparing complex writing materials including correspondence, legal briefs, legal memos, board memos and presentations to meet purpose and audience.

  • Strong understanding of contract terms and vendor/customer relationship agreements.

  • Ability to design, implement, review, and maintain various programs.

  • Ability to work in a matrixed, fast paced, constantly changing and sometimes ambiguous environment.

  • Demonstrated experience in analysis and critical thinking.

  • Skill in problem-solving, including the ability to identify and appropriately evaluate alternatives.

  • Strong relationship building and interpersonal skills, i.e., diplomacy, consideration, sensitivity, confidentiality, and the ability to collaborate with employees at all levels.

    PHYSICAL ACTIVITIES/REQUIREMENTS

  • Travel is not essential to this position; however, occasional travel by automobile and airplane may be requested.

  • This position requires the ability to effectively operate phones, computers, and other office equipment.

  • The individual must have the ability to speak clearly using the English language to accurately convey information and be able to hear at normal speaking levels both in person and over the phone.

  • Specific vision abilities required by this position include close vision, depth perception, and the ability to adjust focus.

  • Generally, working conditions do not require exposure to hazardous materials nor extremes in health and safety hazards. Work is normally performed in an office setting. ​​​​​​​

    ANTICIPATED WEEKLY TIME COMMITMENT

    This position may need to work outside of regular business hours, including evenings and weekends.

    EDUCATION, EXPERIENCE & JOB REQUIREMENTS

  • 5+ years of demonstrated work experience as a Paralegal or Corporate Compliance Program Manager, or similar role/job responsibilities such as contracts management, legal or board/governance support. Experience in a regulated industry preferred.

  • Prior experience working with Legal Counsel, Chief Administrative or Compliance Officer, Board of Directors or similar roles.

  • Bachelor’s Degree in law, business administration, or a similar discipline; Bachelors degree in paralegal studies preferred.

  • Relevant work experience can be considered and substituted for academic requirements.

  • Certified Paralegal (CP) or equivalent preferred.

  • Progressive experience with:

  • Identifying, monitoring and addressing issues of legal risk and researching, analyzing, and interpreting proposed and existing laws, statutes, and regulations in collaboration with legal counsel.

  • Providing advice and consult to leaders and employees regarding contract terms and conditions and vendor/customer relationship management.

  • Managing, maintaining and developing critical program infrastructure.

  • Partnering across business operations to support and drive governance and compliance best practices.
